TERMS AND CONDITIONS

1. SERVICES & SCOPE
HVALLEN performs custom AI architecture and implementation. All projects are defined by a specific Statement
of Work (SOW). Any work outside the SOW requires a signed Change Order.
2. PAYMENT TERMS (HIGH-TICKET PROVISION)
For projects exceeding $10,000, a non-refundable commencement fee of 50% is required before work begins.
Remaining balance is billed upon Milestone Completion. Late payments (>15 days) incur a 5% monthly fee.
3. INTELLECTUAL PROPERTY
The Client retains all rights to their proprietary data. HVALLEN retains ownership of its baseline code, preexisting tools, and methodology. Client is granted a perpetual, non-exclusive license for the specific
implementation delivered.
4. LIMITATION OF LIABILITY
HVALLEN is not liable for "AI Hallucinations," data inaccuracies generated by LLMs, or changes in third-party API
(OpenAI, Anthropic, etc.) policies. Total liability is capped at the amount paid for the specific project.
5. GOVERNING LAW
This agreement is governed by the laws of the State of Arizona. Jurisdiction for any disputes shall be Pinal County, AZ.
